Welcome to WebCodexi. These Terms and Conditions ("Terms") govern your use of our website www.webcodexi.com and the web development services provided by WebCodexi ("we," "us," or "our"). By accessing our website or purchasing our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
1. Definitions
- "Client," "You," "User" refers to the individual or entity engaging WebCodexi for web development services.
- "Services" refers to all web development, design, e-commerce, and digital solutions provided by WebCodexi.
- "Deliverables" refers to the final websites, code, graphics, or digital products created for the Client.
2. Acceptance of Terms
By placing an order, making a payment, or communicating with WebCodexi regarding project work, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.
3. Scope of Services
WebCodexi provides custom website design, business website development, e-commerce solutions, and web application development. The specific scope, timeline, and deliverables for your project will be outlined in a separate proposal, invoice, or agreement provided before work commences.
4. Client Responsibilities
To ensure the timely delivery of your project, the Client agrees to the following:
- Provide all necessary content, including text, images, logos, and branding materials, in a timely manner.
- Provide accurate and complete information regarding project requirements and business goals.
- Review design mockups and development stages promptly and provide consolidated feedback.
- Ensure that all materials provided to WebCodexi do not infringe on any third-party intellectual property rights.
5. Payment Terms
Unless otherwise agreed upon in writing, our standard payment terms are as follows:
- A 50% upfront deposit is required before project commencement. This deposit is non-refundable once work has begun.
- The remaining 50% balance is due prior to the final deployment or transfer of the live website to the Client's hosting environment.
- For ongoing maintenance or large-scale projects, milestone payments may be established.
- Payments can be made via bank transfer, credit card, or other methods specified on your invoice.
6. Project Timelines and Delays
WebCodexi strives to meet all agreed-upon project deadlines. However, project timelines are estimates and may be affected by factors beyond our control. Delays caused by the Client's failure to provide feedback, content, or necessary access credentials will automatically extend the project timeline. If the Client is unresponsive for more than 30 days, the project may be placed on hold, and a reactivation fee may apply.
7. Revisions and Approvals
Our design and development packages include a specific number of revision rounds, as outlined in your project proposal. Revisions must be requested during the designated review phases. Requests for changes outside the original project scope (scope creep) will be billed separately at our standard hourly rate. Once a design or development phase is approved by the Client, going back to revise approved sections may incur additional charges.
8. Intellectual Property Rights
Upon receipt of full payment, ownership of the final Deliverables (website design, custom code, and visual assets) will transfer to the Client. However, WebCodexi retains the right to display the completed project in our portfolio and use it for marketing purposes unless a Non-Disclosure Agreement (NDA) is signed. WebCodexi retains ownership of any underlying frameworks, generic code snippets, or tools used across multiple projects.
9. Third-Party Services and Licenses
WebCodexi is not responsible for third-party services, including but not limited to web hosting, domain registrars, plugins, or external APIs. The Client is responsible for maintaining their own hosting accounts and paying for any premium licenses or subscriptions required for their website. We can assist in purchasing these services on your behalf, but the Client remains financially responsible for these third-party costs.
10. Limitation of Liability
To the maximum extent permitted by law, WebCodexi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services. Our total liability for any claim arising from our services shall be limited to the amount paid by the Client for the specific service giving rise to the claim. We are not liable for loss of revenue, data, or business interruption.
11. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee that your website will be free from bugs, errors, or security vulnerabilities indefinitely, as the digital landscape is constantly evolving. We provide no guarantee regarding search engine rankings, traffic, or business revenue generated from the website.
12. Cancellation and Refund Policy
If the Client wishes to cancel the project after work has commenced, the upfront deposit is non-refundable to cover the time and resources already allocated. If WebCodexi initiates the cancellation due to inability to complete the work, a prorated refund will be issued for any uncompleted work. Refunds are not available for projects that have been completed and deployed.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Sialkot, Punjab, Pakistan.
14. Changes to These Terms
We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes are made constitutes your acceptance of the revised Terms.
